Simpson Manufacturing said in an 8-K filed Tuesday that its sale of unimproved land in Stockton, California, closed in the fourth quarter of 2026, not the third as scheduled. The net gain on the sale will be booked a quarter later, and the company said its full-year guidance ranges have not changed.

The filing falls under Item 7.01, Regulation FD disclosure, and is framed as an operational and guidance timing update for the year ending December 31, 2026. It says the update reflects a shift in the expected closing timeline for the Stockton land.

The company blamed "administrative procedures" for the slip. The deal was originally scheduled to close in the third quarter of 2026 and instead closed in the fourth.

As a result, the net gain on disposal, and its effect on income from operations, will be recognized in the fourth quarter rather than the third. The filing does not state the size of the gain or the sale price.

The filing was signed Tuesday by Chief Financial Officer Matt Dunn.

What it changes

The change is one of timing. Whatever the gain is, it moves from the third-quarter results to the fourth. If you compare the company's quarterly operating income against a third-quarter plan, the land gain will not be in that period.
