Seagate Technology CEO William Mosley sold nearly 19,000 STX shares on Thursday under a pre-scheduled trading plan, generating $17.4 million in proceeds, according to a Form 4 filed with the SEC on Friday. The transaction is the latest in a systematic sell program that has now totaled more than $114 million across five filings since September 1.

What The Filing Says

Mosley sold 18,998 STX shares on Thursday at a weighted average price of $914.67 per share, according to the SEC filing. The sales were spread across 28 separate tranches, with prices ranging from roughly $898 to $928 per share — all executed on the same day.

Alongside the share sale, Mosley exercised an option to acquire 14,000 shares at $46.23 per share.

After the transaction, Mosley holds 373,110.25 STX shares, valued at about $316.8 million at current prices. That remaining stake represents a reduction of roughly 5% from his pre-transaction position.

A Second Sale The Same Day

Thursday's $17.4 million transaction was not the only disposal Mosley made that day. A separate filing also dated October 1 records the sale of 11,002 additional shares at approximately $935.60 per share — a transaction worth about $10.3 million.

Taken together, Thursday's two filings account for roughly $27.7 million in proceeds from a single trading day.

In Friday after-hours trading, STX shares edged down about 0.08% to $848.35 — well below the $897-to-$928 range at which Mosley sold on Thursday (market data).

The Plan Behind The Sales

Every transaction is being executed under a pre-scheduled trading plan Mosley adopted on February 18, 2026, under Rule 10b5-1(c) — a mechanism that lets corporate insiders set up automatic sell programs in advance, removing any inference of trading on material non-public information.

The plan has been running for months. Across five Form 4 filings covering September 1 through October 1, Mosley disposed of about 143,610 shares valued at roughly $114.3 million in total, according to SEC filing history. Thursday's $17.4 million sale is one of two filings bearing the October 1 date.

Whether the February 2026 plan triggers additional sales will become clear in coming Form 4 filings; Seagate's next earnings report will offer the clearest read on whether the stock's elevated price levels — well above Friday's after-hours price of $848.35 — are supported by underlying business performance.
