Samsara CEO Sanjit Biswas Sold 263,900 Shares, $11 Million, Under A Plan Set In September 2025

Samsara CEO Sanjit Biswas sold 263,900 Class A shares at an average of $41.68, a $11.0 million sale, according to a Form 4, the report insiders file after trading. The sales ran through his family trusts and were scheduled in advance on September 29, 2025.

What the Form 4 shows

The filing was made Thursday and covers open-market sales on October 13, October 14 and October 15. Prices ran from $40.94 to $42.77 across the individual lines.

Two plans covered the trades. One came from the co-trustees of the Biswas Family Trust. Jordan Park Trust Company LLC set up the second for The Biswas Trust I and The Biswas Trust II. The filing says Biswas has voting or investment power over the trusts' shares.

The filing lists 2,247,833 shares still held after the sales: 1,356,498 directly and 891,335 indirectly through family trusts. At Thursday's close of $42.59, that stake is worth about $95.7 million. The sale equals 10.51% of the 2,511,733 shares he reported before this filing.

A fifth sale since July 17

This is not a one-off. Four earlier sale filings between July 21 and September 29 covered 1,055,600 shares, or $40.2 million. Each of those four was also for 263,900 shares:

  • July 21: about $36.13 a share, $9.5 million.
  • August 4: about $38.34 a share, $10.1 million.
  • August 18: about $39.89 a share, $10.5 million.
  • September 29: about $38.03 a share, $10.0 million.

Including this filing, the five sales since July 17 total 1,319,500 shares, or $51.2 million.

Samsara stock is up 20.1% this year as of Thursday's close, within a 52-week range of $23.38 to $47.47.

The pattern of identical 263,900-share sales means further Form 4 filings could follow if the same plans keep selling.
