Robinhood's Tenev Unloads $42.6 Million Of HOOD Stock, Using Trading Plan Adopted In 2025
A Form 4 shows the Monday sale left Tenev with 6,907 shares, all held through a living trust.
Robinhood CEO Vladimir Tenev sold 375,000 HOOD shares on Monday at an average $113.72, a $42.6 million sale, according to a Form 4 filed Wednesday. The filing says the trade followed a pre-scheduled plan, and the shares were Class B stock that converted to Class A on sale.
What the Form 4 says
The sale ran in three open-market tranches, priced from $113.24 to $114.95. The filing checks the Rule 10b5-1(c) box, the marker for a pre-scheduled trading plan filed with the SEC.
A footnote says Tenev adopted the plan on September 5, 2025. The Class B shares converted automatically to Class A when sold.
Afterward, Tenev holds 6,907 shares, none directly and all indirectly through a living trust. The 375,000-share sale equals 98.19% of his reported position, based on the filing's holdings figures.
The pattern of sales
Five recent Form 4 filings show sales totaling 1,625,000 shares, about $178.1 million, from January 5 to September 22.
HOOD closed at $109.51 on Wednesday and traded at $109.57 in Wednesday after-hours trading.
