RB Global Names Insider Steve Steinberg CFO As Eric Guerin And Steve Lewis Leave
The company also created three senior roles and said 2026 results should land at the high end of its August 4 outlook.
RB Global promoted Steve Steinberg, 62, to chief financial officer effective October 7, 2026, an 8-K filed Thursday shows. CFO Eric Guerin and COO Steve Lewis are leaving as part of the same reshuffle.
What the 8-K says
Guerin's last day was October 6. Lewis's last day is expected to be October 9, and each will receive severance and customary benefits under his employment agreement, according to the filing.
Steinberg joined RB Global in 2016. He was business unit CFO for North America until 2020, then ran global financial planning and analytics roles, and since 2025 has been senior vice president and head of strategic planning and decision support. Earlier jobs were at Follett Learning, Oracle/Sun Microsystems, Verizon/MCI Communications and Ameritech/AT&T Wireless.
Three other promotions, described in the press release filed as an exhibit, take effect the same day:
- Shiv Dutt becomes chief digital and strategy officer, a new role covering enterprise technology, digital strategy and M&A strategy. He keeps leading product and engineering for heavy equipment and transportation.
- Jake Lawson becomes president of heavy equipment and transportation in North America, a new role over sales, operations, marketing and analytics.
- Sam Wyant becomes president of Auto North America and International, also new.
Steinberg's pay and exit terms
His employment agreement sets a $625,000 base salary and an annual bonus target of 100% of salary, with a maximum of 200%. It also promises a yearly equity grant worth 400% of salary, which still needs approval from the board's compensation committee.
If he is fired without cause or quits for good reason, he is owed 18 months of base salary and target bonus, a pro-rated bonus for the year, and COBRA health coverage costs for up to a year. All of it depends on signing a release of claims.
A change-of-control clause pays 1.5 times salary and target bonus, plus benefits, if he is let go without cause within two years of a takeover, or leaves for good reason within one year. He also faces a 12-month non-compete in Canada and the United States.
What it changes for the outlook
RB Global said it expects full-year 2026 results at the high end of the outlook it gave August 4: gross transaction value growth of 9% to 11% and adjusted EBITDA of $1,495 million to $1,545 million.
CEO Jim Kessler said the appointments "elevate outstanding, proven talent within RB Global." Steinberg said he would focus on "margin expansion, balance sheet flexibility, and value-creating capital allocation."
Steinberg's first earnings event as CFO is third-quarter results before the market opens on Monday, November 9, with a call at 8:30 a.m. ET.
