Personalis Tells Employees It Does Not Anticipate Layoffs In Pending Tempus Deal
An employee FAQ says the Fremont site stays open, the stock plan ends and 401(k) contributions pause if closing comes in 2026.
Personalis told staff in an employee FAQ filed Tuesday that it does not anticipate layoffs from its pending merger with Tempus. The document says closing is expected in late 2026, subject to the remaining closing conditions.
What the FAQ tells employees
The FAQ, filed with the SEC as a Rule 425 communication, says the deal is "focused on expanding capabilities and creating new opportunities, not on cost savings." It says Tempus is acquiring Personalis for its products, expertise, know-how and team.
Until closing, employees keep their titles and managers, and Personalis operates independently. R&D programs continue as planned.
The Fremont, California site will keep operating. The FAQ adds that long-term facility plans are always subject to review, though it anticipates no change to daily operations there.
On NeXT Personal, the company's residual-disease cancer test, the FAQ says the parties estimate the market for such testing is a $20 billion opportunity. It calls the test critical to the combined company's future revenue growth. Personalis launched a Real-Time Variant Tracker add-on for the test on Tuesday, according to a company announcement.
What changes for stock, options and benefits
Each Personalis share converts into the right to receive Tempus Class A common stock, cash at Tempus' election, or both, less tax withholdings.
Unvested in-the-money options become Tempus options, adjusted by the exchange ratio to preserve their value, on the same terms including vesting. Unvested RSUs (restricted stock units) convert into Tempus RSUs on the same basis. Vested in-the-money options are cancelled for stock consideration, and out-of-the-money options are cancelled without payment.
Employees who want to exercise vested options for possible capital gains treatment must do so by a Last Pre-Closing Option Exercise Date, which the FAQ says will be set later. It advises consulting a tax adviser.
The 2019 employee stock purchase plan ends on or before closing. If the deal closes before the end of 2026 as anticipated, 401(k) contributions pause for the rest of the year during the move to Tempus' plan. Years of service carry over, and benefits move to Tempus plans after closing.
What to watch
Personalis stockholders must still vote on the merger after the SEC declares Tempus' Form S-4 registration statement effective. Open enrollment for Personalis benefits runs November 2 to November 13, with elections effective January 1, 2027.
The FAQ says a full Tempus benefits transition timeline is still being finalized and will be shared when available.
