Sales through a October rally

All the sales were made in the open market through brokers, the filing said. They were made by Perceptive Life Sciences Master Fund, and the schedule lists 16 trade dates, not consecutive trading days.

The largest single-day sale was 885,976 shares on October 12 at a weighted average price of $2.0136. The highest average price was $3.1154, for 170,000 shares on October 23, and the last sale, 250,000 shares on October 26, went at $2.3604.

The first entry, on July 28, was a short sale of 1,933 shares at $1.3081. The heavy selling began September 29 at $1.5000 a share.

Who holds what now

Perceptive Life Sciences Master Fund directly holds 4,778,652 shares, or 3.8% of the class. C2 Life Sciences holds 165,860 shares, or 0.1%. Perceptive Advisors, which manages both vehicles, and Edelman, its managing member, hold no shares directly but share voting power over all 4,944,512.

The percentages rest on 127,372,425 shares outstanding as of October 22, as reported in Nautilus's quarterly report filed October 27.

The company being sold

Nautilus Biotechnology is a development-stage life sciences company building a platform to measure proteins. Its Voyager platform pairs instruments, consumables and software to analyze single protein molecules. The company launched an Early Access Program in January 2026, offering select customers a Tau Proteoforms assay through its fee-for-service analysis services, and plans to sell the platform later.

Its market value was about $297 million at the time of Tuesday's report.

Dropping below five percent ends the sixth-amendment-long run of required activist-style reporting at the old threshold for Perceptive's Nautilus position.
