Marathon Petroleum Taps Ex-Fluor CEO David Constable For An 11th Board Seat

Marathon Petroleum, the Findlay, Ohio refiner, expanded its board to eleven members and elected David Constable, the former chief executive of Fluor and Sasol, as a director, according to an 8-K and a company announcement Thursday. The directors acted on October 28, and both the larger board and his seat take effect March 1, 2027.

Two committees, standard pay

Constable will serve on the board's Compensation and Organization Development Committee and its Sustainability and Public Policy Committee, also starting March 1, 2027.

As a non-employee director, he will receive the same pay as the other non-employee directors, as described in the company's proxy statement filed March 16, 2026.

A career in engineering and energy

Constable most recently served as chairman and CEO of Fluor Corporation, the company said in its release. He led Sasol Ltd., a global chemical and energy company, as CEO from 2011 to 2016, then spent three years as a senior advisor to Cerberus Capital Management LP.

He sits on the board of ABB Ltd and previously served on the boards of Anadarko Petroleum and Rio Tinto. He holds a civil engineering degree from the University of Alberta.

Chairman, President and CEO Maryann Mannen said Constable "will bring over four decades of global leadership experience in the energy, chemicals, engineering and construction sectors, a tremendous asset as we execute our strategy." Lead Director John Surma pointed to Constable's "record of value creation and successful management in complex industries."

The refiner he is joining

Marathon Petroleum refines crude oil into gasoline, diesel and other fuels, moves them through pipelines, terminals and barges, and also makes renewable diesel. Its refineries had crude refining capacity of 2,986 thousand barrels per day as of the end of 2025, according to its annual report.

Its Midstream segment mainly reflects MPLX, a partnership in which Marathon owned about 64 percent of the common units as of December 31, 2025.

Constable's seat and both committee assignments begin March 1, 2027, the same day the board grows to eleven.
