Littelfuse, which makes fuses, sensors, relays and power semiconductors, owes Elmos Semiconductor €24.6 million ($28.5 million) for renegotiating its Dortmund wafer fab deal, the quarterly filing showed Wednesday. It was charged against third-quarter chip revenue.

What the fee buys

The September 15 amendment frees Littelfuse entities from cross-guarantees and eases transfer restrictions. Littelfuse says that widens its options for the Dortmund Semiconductor GmbH asset.

Payment comes in two parts: €15 million in the fourth quarter of 2026 and €9.6 million in the second quarter of 2027. Meanwhile other customer reserves in accrued liabilities stood at $30.2 million at September 26, against $2.9 million at December 27, 2025.

A dent in semiconductor sales

Semiconductor sales in the Electronics segment were $187.4 million in the quarter, against $174.1 million a year earlier. The earnings release adds the fee back to reach $215.9 million of adjusted semiconductor net sales.

The 10-Q also records a $1.3 million non-cash impairment of customer relationships acquired with the Dortmund fab, which it ties to lower expectations for future revenue and cash flow. The prior quarter's filing carried no such charge.

A fab bought at the end of 2024

Littelfuse completed its purchase of the 200mm Dortmund fab from Elmos on December 31, 2024, for about €94 million, and reports it within its semiconductor business. Since then it has announced the closure or disposition of two semiconductor manufacturing sites, with fixed-asset impairments of $13.4 million for the first nine months of 2026.

The company expects remaining employee-termination payments from its restructuring to be substantially finished during fiscal 2027.
