Kloeckner Holders Vote Down Worthington Steel's Control Pact — Its 62% Stake Stands
Worthington Steel says it will chase synergies inside Kloeckner's existing governance, and the vote leaves its consolidation and financing intact.
Kloeckner shareholders rejected the agreement that would have handed Worthington Steel formal control of the German metals processor, the company said Friday in an 8-K. Worthington Steel, which processes carbon flat-rolled steel and makes electrical steel laminations and laser welded blanks, still holds about 62% of Kloeckner and says it will pursue its goals within the current structure.
A control agreement that won't take effect
The domination and profit and loss transfer agreement, signed with Kloeckner on Sept. 8, 2026, needed approval at Kloeckner's extraordinary general meeting in Düsseldorf. It did not get it, so it will not become effective.
In a statement ahead of the meeting, Worthington Steel said it would not seek another vote for at least one year if the agreement failed to reach the required 75% majority of capital represented.
At the same meeting, Kloeckner shareholders approved the election of five Supervisory Board members, who had already been serving after a court appointment in July 2026. They also approved changes to the articles of association meant to simplify governance.
What stays the same
Worthington Steel completed its voluntary public takeover offer for Kloeckner on June 3, 2026. After a later delisting tender offer, it holds approximately 62% of Kloeckner's share capital and voting rights, which the company said the vote leaves unaffected.
Kloeckner's results have been in Worthington Steel's consolidated reporting since the June 2026 majority-stake deal. The company said the vote changes neither that consolidation nor its financing arrangements.
Worthington Steel shares rose about 3% to $41.83 in Friday trading, after the 11:55 a.m. ET filing.
Gilmore: timing and mix will shift
CEO Geoff Gilmore said, "The path forward is clear, and we will begin work immediately." He added that the vote "will affect the timing, mix and manner in which certain goals can be realized, particularly in the near term," but leaves the company's conviction in the acquisition's rationale unchanged.
The company plans to work on commercial, procurement, operational and strategic opportunities within the existing governance framework and applicable law. Its own risk language lists limits on its ability to direct Kloeckner's operations under that framework, and delays or failure to realize synergies.
Kloeckner, a steel service center and metals processor, supplies more than 60,000 customers from around 110 locations, mainly in North America and Germany, Austria and Switzerland.
Worthington Steel says the work on synergies starts immediately, under a governance structure that now has no control agreement behind it.
