Worthington Steel Rules Out Second Kloeckner Control Vote For At Least One Year If Friday's Fails
The company says the Düsseldorf meeting proceeds as planned, with the control-agreement vote as agenda item two.
Worthington Steel said it will not seek another shareholder vote on its control agreement with Kloeckner & Co for at least one year if the vote at Friday's extraordinary meeting falls short. The pledge came in a press release furnished with an 8-K filed Wednesday, issued in response to investor inquiries.
What the statement says
The meeting of Kloeckner shareholders takes place as planned on Friday in Düsseldorf, Germany, the company said. Agenda item two is the vote on a domination and profit and loss transfer agreement, a contract that gives Worthington control over Kloeckner.
The agreement needs a 75% majority of the capital represented at the meeting. If it misses, Worthington Steel says it will not pursue another vote on the agreement for at least one year from the date of the meeting.
The release gives no other terms for the vote beyond the threshold and the one-year pledge.
What it changes
The two companies signed the agreement on September 8, 2026. It still needs approval from Kloeckner shareholders and registration with the competent commercial register before it takes effect.
Until then, Kloeckner continues to operate independently, according to the release.
The release also gives Worthington Steel's size on a combined basis: approximately 12,000 employees and approximately 150 facilities, primarily in North America, with additional operations in Europe and Asia. Those counts reflect the expected combined organization once the agreement becomes effective.
Worthington Steel shares closed at $41.24 at Tuesday's close, before the statement was filed.
What to watch
Friday's vote in Düsseldorf will show whether the agreement reaches the required 75% of capital represented.
A failed vote would put any second attempt off for at least a year from Friday's meeting, on Worthington Steel's own terms.
