Integra Prices $450 Million Of 9.500% Notes, Expects Rate Increase Near High End Of 100-200 Basis Point Range
The refinancing is expected to raise Integra's effective interest rate near the top of the range management flagged earlier.
Integra LifeSciences priced $450 million of 9.500% senior secured notes due 2033 in a private placement, according to an 8-K filed Friday. The company said the notes' rate, combined with the other pieces of its refinancing, should lift its effective interest rate near the high end of a 100-200 basis point increase management had already communicated.
What the 8-K says
The notes are general senior secured obligations. They will be guaranteed by the company's wholly owned domestic subsidiaries that also guarantee its senior secured credit facilities.
Integra said the interest rate on the notes, plus the anticipated rates on other parts of the refinancing plan, should put the rise in its effective interest rate near the high end of the range. A basis point is one-hundredth of a percentage point, so the range is 1 to 2 percentage points. The filing says management had communicated that range before.
The press release attached to the filing calls the offering part of a broader refinancing transaction.
What it changes
Net proceeds from the notes, together with borrowings under a new credit facility, will repay Integra's existing credit facilities and cover fees and expenses. The notes are one half of the refinancing; the new credit facility is the other.
For holders, the cost of that debt is now clearer. The company places the increase near the top of the range it gave earlier, not in the middle of it.
The notes were offered only to qualified institutional buyers and to certain non-U.S. persons outside the United States. They are not registered under the Securities Act.
What to watch
Integra expects the sale of the notes to close on or about October 19, 2026. The new credit facility, which completes the refinancing, still has to be put in place.
