Hertz Global shares rose about 17% to $2.09 in Tuesday trading, as of 1:01 p.m. ET (market data). Neither of the two disclosures the company made over the past week mentions the share price.

The latest disclosures

  • Board overhaul (8-K, Thursday, October 1). Directors Francis S. Blake, Lucy Clark Dougherty and Thomas Wagner resigned effective that day, according to an 8-K, the form companies use to report major events. The board appointed Robert Davis, Nils Larsen and Adam Zirkin the same day. The filing says none of the exits came from a disagreement over the company's operations, policies or practices. Davis and Larsen each get the standard director package of $175,000 a year in restricted stock units plus a $100,000 cash retainer. Zirkin, who is associated with Knighthead Capital Management, will be paid $1.00 a year.
  • Results date (announcement, Monday, October 5). Hertz will report third-quarter results at 8:00 a.m. ET on Thursday, November 5, followed by a call at 9:00 a.m. ET, according to its earnings-date announcement. A live webcast will be on the company's investor relations site.

Over the past year the shares have traded as low as $1.45 and as high as $8.18.

The business

Hertz runs the Hertz, Dollar, Thrifty and Firefly rental brands, along with a used-car sales arm and a car-sharing business in Europe. The company says it has roughly 11,000 rental locations in 160 countries.

The November 5 report will be the first results since three of the board's seats changed hands.
