Henry Schein Names Ex-ITT CFO Emmanuel Caprais As Finance Chief, With $750,000 Salary
Ronald South stays through the third-quarter earnings process before moving to a senior advisory role on November 4.
Henry Schein named Emmanuel Caprais, who was ITT's chief financial officer from 2020 to May 2026, as its next CFO, an 8-K filed Thursday shows. He takes the job on November 4, replacing Ronald South, who will move to a Senior Advisor role.
What the 8-K says
Caprais starts October 12 as Senior Financial Advisor, a period the company describes as a structured transition. South stays CFO and principal accounting officer through November 3, including the third-quarter earnings process.
From November 4, Caprais becomes senior vice president and CFO and reports to CEO Frederick M. Lowery. South will receive payments and benefits under the company's Executive Severance Plan.
Caprais is 51. At ITT, a global industrial manufacturer, he held finance roles after joining in 2012, including group CFO and segment CFO for its Motion Technologies and Industrial Process businesses. Earlier he worked at Magneti Marelli and Valeo.
The press release says South's move follows 18 years at Henry Schein, the last four as CFO. Lowery called Caprais "a proven financial leader with deep experience in driving operational performance and profitable growth at global businesses."
The offer letter
Caprais gets a $750,000 base salary and a $750,000 target bonus tied to performance goals. He is also eligible for a $25,000 cash sign-on bonus, payable within 30 days of starting.
His 2027 long-term award is expected to have a grant-date fair value of $2,500,000, to be granted in March 2027. A one-time sign-on equity grant worth $250,000 is slated for December 2026: half performance-based stock units vesting after three years, half time-based units vesting over four years.
The company will also pay up to $7,000 in fees to renew U.S. permanent resident cards for Caprais and his immediate family.
If he is terminated without a change in control, the severance plan provides cash equal to 1.5 times salary plus average bonus. After a change in control, it is 2.0 times base salary and target bonus. He is bound by non-compete covenants for 18 months after leaving.
What it changes
The release says the company also expects to add a Chief Strategy and Transformation Officer and a technology leader covering AI implementation, data and broader technology needs. Henry Schein stock closed at $83.66 on Wednesday, down 1.39%, before the 7:00 a.m. ET Thursday disclosure (market data).
