Group 1 Automotive Pays About $1.3 Billion To Close Hennessy Atlanta Deal, Funded By $1.25 Billion Of Notes
The 8-K says the dealer group bought 10 Atlanta-area dealerships and a collision center, paid for with two new senior note issues and cash.
Group 1 Automotive closed its purchase of the Hennessy group's Atlanta-area dealership assets on Monday, paying approximately $1.3 billion, an 8-K filed Wednesday says. The deal covers 10 dealerships and one collision center, and was paid for with $1.25 billion of new senior notes plus cash on hand.
What the 8-K says
The filing describes the deal as all assets, other than certain excluded ones, of 10 automobile dealerships and one collision center in greater Atlanta, plus related dealership real estate and leasehold interests. Group 1 also assumed certain specified liabilities, including post-closing obligations under assumed contracts.
The price is subject to customary post-closing adjustments, including a true-up of the operating asset purchase price within 90 days after closing.
Funding came from private placements of $625 million of 6.250% senior notes due 2032 and $625 million of 6.625% senior notes due 2035, together with cash on hand. That is $1.25 billion in notes across the two series.
At closing, $80.0 million of the price went into an indemnity escrow account to secure Hennessy's post-closing indemnification obligations. The filing says 25% is to be released three months after closing, another 25% at nine months, and the rest at 18 months, subject to pending claims.
What the October amendment changed
The agreement was signed July 30, 2026. A first amendment dated October 2 replaced the dealership list. It names Porsche, Lexus, Jaguar Land Rover, Honda, Cadillac and Ford Lincoln stores, all in the Atlanta area.
It also caps the credit Group 1 gets against the purchase price for restricted stock grants at $2,000,000. The sellers may use an accounting office in Duluth, Georgia until their new office is ready or six months after closing, whichever comes first, and they get 14 days after closing to remove personal property.
What to watch
The 8-K leaves out the acquired businesses' financial statements and pro forma figures. Group 1 says both will be filed within 71 calendar days after the date this report was required to be filed.
In Wednesday trading, as of 12:46 p.m. ET, GPI shares were down 3.92% at $233.49, from a prior close of $243.02.
The next dated item is the filing of Hennessy's financial statements and pro forma figures, due within 71 calendar days after the 8-K's required filing date.
