Goodyear's compensation committee approved a $375,000 annual base salary for Stephen F. Shamrock, its incoming vice president and controller, according to an amended 8-K filed Friday. The committee acted Monday, and the filing adds the pay terms that the company's earlier announcement of his election did not carry.

What the amended filing says

The amendment, an 8-K/A, says the Human Capital and Compensation Committee approved Shamrock's pay changes on October 5. Beyond the salary, he joins the Executive Annual Incentive Plan with a target annual incentive of $225,000.

He also received an additional long-term incentive grant valued at $220,000 under the company's 2022 Performance Plan. The grant is made up of restricted stock units, performance share units and cash-settled performance units.

Shamrock will take part in the Executive Severance and Change in Control Plan and the Defined Contribution Excess Benefit Plan. He is also covered by the other benefit plans and programs that are generally available to Goodyear's officers and associates.

How it fits with the original 8-K

Goodyear said in the filing that it submitted the amendment to provide information on changes to Shamrock's compensation in connection with his election. The original 8-K, filed October 1, announced his election as vice president and controller, effective October 16.

So the pay terms are new in this amendment, while the appointment itself was announced earlier. The filing was signed Friday by Daniel T. Young, the company's secretary.

What it changes for holders

For holders, the package sets out what the controller role will cost in fixed pay, target bonus and equity-linked awards. Cash components are the $375,000 salary and the $225,000 target incentive, and the $220,000 long-term grant is split between stock units and cash-settled units.

At Friday's close, per market data, Goodyear shares traded at $4.68, down 1.47%. The filing does not tie that move to the amendment.

Shamrock's election as vice president and controller takes effect October 16.
