DTE Energy Agrees To Sell Vantage For $2.97 Billion To Infrastructure Investors

DTE Energy, a Michigan-based electricity and natural gas utility company, agreed Sunday to sell DTE Vantage for $2.97 billion to Velocity BidCo. The agreement covers its entire ownership of the non-utility subsidiary, DTE said in an SEC filing Thursday.

Infrastructure Investors Buy The Whole Business

Velocity BidCo is owned by institutional investors whose adviser is J.P. Morgan Asset Management's Global Infrastructure group. The buyer's obligation to finish the purchase is not conditional on obtaining financing.

The agreed price is $2,970,672,573 before closing adjustments. The amount ultimately paid will account for Vantage's cash, debt, working capital, capital spending and transaction expenses at completion, rather than being fixed at the headline figure.

DTE's board unanimously approved the sale Friday. The transaction would transfer all outstanding equity in the wholly owned subsidiary to Velocity BidCo.

Vantage Sits Outside The Michigan Utilities

Vantage's operations include renewable energy projects selling electricity and gas suitable for pipelines, alongside projects supplying tailored energy services to industrial, commercial and institutional customers. DTE's annual report also describes Vantage's renewable natural gas projects and on-site energy services.

Those operations are distinct from DTE's main utility businesses. DTE Electric generates and distributes power to approximately 2.3 million residential, commercial and industrial customers in southeastern Michigan. DTE Gas serves approximately 1.4 million customers across Michigan and also sells gas storage and transportation capacity.

DTE's other non-utility segment, Energy Trading, markets and trades electricity and natural gas. The sale agreement concerns Vantage, rather than that trading business or the Michigan utilities.

A Fee If The Deal Ends

Velocity BidCo would owe DTE a $148,533,628.65 termination fee if the agreement ends in specified circumstances. That payment is conditional, not money DTE has already received.

Either party has a right to end the agreement if the purchase remains unfinished on August 1, 2027. The deadline can extend by 90 days when certain regulatory approvals are the only remaining conditions, with day-by-day extensions also available for certain government closures.

DTE expects the Vantage sale to finish in mid-2027.
