Domino's Director Patricia Lopez Retires From Board For Personal Reasons, 8-K Says
The filing says her exit is not tied to any disagreement with the company and names no replacement.
Domino's Pizza director Patricia E. Lopez told the company on October 2 that she is retiring from its board, effective October 7, according to an 8-K filed Thursday. The filing says the move is for personal reasons.
What the 8-K says
Lopez notified Domino's on October 2 of her decision. The retirement took effect October 7.
She advised the company that the retirement "is not the result of any disagreement with the Company's operations, policies or practices." The board, in the filing, thanked her for her years of service and her contributions.
The filing was reported under Item 5.02, the section for director and officer departures. It was signed by Ryan K. Mulally, the company's executive vice president, general counsel and corporate secretary.
What it leaves open
The 8-K names no successor and no replacement director. It does not say which board committees Lopez served on.
DPZ shares closed at $308.65 at Thursday's close, up about 2% for the session, according to market data. The filing was accepted at 4:04 p.m. ET, after that session ended.
The filing gives no sign of when, or whether, the board will fill the seat.
