Dimensional Fund Advisors holds 5.2% of Universal Health Services, or 2,679,916 common shares, according to a Schedule 13G (a passive ownership disclosure) filed Thursday. The filing lists September 30 as the event date.

What the filing says

Dimensional Fund Advisors LP, based in Austin, reported sole voting power over 2,643,168 of the shares and no shared voting power. The filing classifies it as an investment adviser.

The filing says Dimensional advises four registered investment companies and also manages or sub-advises other commingled funds, group trusts and separate accounts. All the reported securities, it says, are owned by those funds, and Dimensional disclaims beneficial ownership of them.

To Dimensional's knowledge, no single fund's interest exceeds 5% of the class.

What it changes

A 13G is the lighter-touch form, used by holders who certify they are not seeking control. Dimensional certified that the shares were acquired and are held in the ordinary course of business, and not to change or influence control of the company.

In Thursday trading, as of 2:38 p.m. ET, UHS shares were at $176.12, up 0.86% from the prior close, for a market value of $10.3 billion (market data).

On Wednesday, Argus raised its price target on the stock to $195.00. CEO Mark Miller said in a video interview that the company has spent 15 to 20 years building outpatient services, and he called the Talkspace acquisition a way to create an end-to-end continuum of care.

What to watch

Universal Health Services will report third-quarter results after the market closes on October 26. An investor call follows at 9:30 a.m. Eastern on October 27.

The company says it employs more than 102,000 people across facilities in 40 states, Washington, D.C., Puerto Rico, Ireland and the United Kingdom.
