Dillard's CEO and Chairman William T Dillard II gave away 50,000 shares of the department-store chain's Class A stock on Thursday, according to a Form 4, the report insiders file after trading. At Friday's close of $719.61, the gift was worth about $36.0 million, though the filing states no price for a gift.

What he still holds

After the gift, 857,948 Class A shares remain in his direct holdings, the filing shows. Another 7,300 Class A shares sit in an indirect line: a trust for which he serves as trustee.

He also holds 960,246 Class B shares directly. Those convert into Class A at the holder's option, one for one, and have no expiration date, according to the filing's footnotes. His Class A retirement-plan line shows zero shares.

The stock behind the gift

Dillard's is a department store chain selling apparel for women, men and children, plus accessories, shoes, cosmetics and home furnishings. As of January 31, 2026, it operated 271 stores, including 28 clearance centers, mostly in malls and open-air centers across the southwest, southeast and midwest.

The shares were up about 19% this year as of Thursday's close. That close was within 5% of the 52-week high of $741.98, and well above the 52-week low of $503.06.

The gift leaves Dillard with 865,248 Class A shares across his direct and trust lines, before counting his Class B stake.
