Champion Homes, the factory-built housing producer, agreed to buy the assets of Timberline Homes, a retailer with nine locations in Alabama, Mississippi and Florida, according to an 8-K filed Monday. The company says the stores sit close to its own manufacturing and distribution network in the region.

What the 8-K and press release say

The 8-K, signed by Chief Legal and Administrative Officer and Secretary Laurel Krueger, reports the agreement under Regulation FD disclosure and attaches the press release as an exhibit. The filing gives no price or other financial terms for the deal.

The press release describes Timberline as a retailer that helps customers with permitting, financing, home selection and site preparation. It sells manufactured and modular homes.

Closing is subject to customary conditions being met or waived and is expected in Champion's fourth quarter of fiscal year 2027. Once the deal is completed, Champion will offer jobs to all Timberline employees.

Champion President and CEO Tim Larson said the "planned acquisition underscores our strategic focus to elevate the homebuying experience for our customers by expanding our retail footprint in the region." He credited Dennis Adams, Timberline's founder and president, with the "thoughtful expansion" behind the business.

Adams said Champion is "an excellent long-term partner for Timberline."

What it changes

Champion says the purchase advances its direct-to-consumer strategy by giving it more retail locations tied to its factories. Its release says the company already runs a factory-direct retail business with 95 locations across the United States, so Timberline's nine would add to that base.

Champion describes itself as a leading producer of factory-built housing in North America, with about 9,200 employees and 46 manufacturing facilities in the United States and western Canada.

In market data, Champion shares were unchanged at $85.76 in Monday after-hours trading, matching the regular-session close. The filing was accepted at 4:15 p.m. ET.

The release's forward-looking statements list the risks of the deal, including integration of operations and information systems, along with housing-cycle and borrowing-rate risks.

The next marker is the close, which the company targets for its fourth quarter of fiscal year 2027, pending customary conditions.
