Capital World Investors Reports 10.1% Passive Stake In Skyworks, 15.2 Million Shares, In SEC Filing
The Schedule 13G lands a day after Skyworks closed its Qorvo combination, with sole voting power over all shares reported.
Capital World Investors, a division of Capital Research and Management, owns 10.1% of Skyworks common stock, according to a Schedule 13G filed Tuesday. The passive ownership disclosure comes one day after the chipmaker completed its combination with Qorvo.
What the Schedule 13G says
The filing puts Capital World Investors' position at 15,174,123 shares, measured against 150,472,782 shares it believes are outstanding. The event date is September 30, 2026.
It reports sole voting power over all 15,174,123 shares and shared voting power over none. The filer is classified as an investment adviser.
In the certification, the filer says the shares were bought and are held in the ordinary course of business, not to change or influence control of Skyworks. A 13G is the passive version of an ownership filing, used by holders who say they are not seeking control.
The filing says Capital World Investors is a division of Capital Research and Management Company, and that it provides investment management services through that company's subsidiaries and affiliates.
Where it sits against the Qorvo deal
The stake follows Skyworks' completed combination with Qorvo, a cash-and-stock deal that gives Qorvo holders about 37% of the combined company. Skyworks has targeted $500 million or more in annual cost synergies within 24 to 36 months.
Skyworks also dropped out of several Russell defensive indices in early October.
Skyworks shares closed at $82.79 on Tuesday and traded at $82.70 in Tuesday after-hours trading, an early reading on lighter volume (market data).
What to watch
Skyworks will give financial guidance for the combined company on its fiscal fourth-quarter earnings call on Nov. 3.
The denominator matters: the 10.1% rests on 150,472,782 shares the filer believes are outstanding, a count the filing describes as a belief rather than a confirmed total.
