Capital One's Richard Fairbank Plans To Sell 90,743 Shares Worth $18.6 Million

Capital One founder Richard D Fairbank plans to sell 90,743 shares of the bank's stock, with an aggregate market value of $18.6 million, according to a Form 144, the notice insiders file before a planned sale. The filing gives an approximate sale date of November 4, and it also lists an October 27 sale of the same size.

A repeat of an October sale

The form lists Fairbank's relationship to Capital One as officer and director, and the company's own roles for him are CEO and founder. Morgan Stanley Smith Barney LLC Executive Financial Services is the broker. The shares trace to option exercises and performance awards.

Its past-three-months table shows one sale by Fairbank: 90,743 shares on October 27, for $18,407,809 in gross proceeds. That is the same share count as the newly proposed sale.

The company and the stock

Capital One is a financial services company that offers credit cards and digital banking. Its acquisition of Discover added the Discover Network and a Global Payment Network, and the company says its Discover integration is continuing.

COF closed Wednesday at $206.31. As of Tuesday's close the stock was down about 14% this year, from a 2025 year-end close of $242.36, and its 52-week range runs from $174.24 to $259.63.

A Form 144 is a notice of intent, so a later SEC filing would be needed to show the sale was carried out.
