Capital One's Fairbank Plans To Sell 90,743 Shares Worth $18.4 Million
The CEO's planned sale, filed Tuesday, draws on an option exercise and shares acquired in 2021 and 2025.
Capital One CEO and founder Richard D. Fairbank plans to sell 90,743 shares of the bank's common stock, a proposed sale valued at $18.4 million, according to a Form 144 filed Tuesday. The form is the notice insiders file before selling.
Where the shares come from
The sale would run through Morgan Stanley Smith Barney LLC Executive Financial Services, with an approximate sale date of October 27, 2026, the filing says.
Part of the stock comes from an option exercise. The rest comes from holdings acquired in 2021 and 2025.
A stock down 17% this year
Capital One, the credit card and digital banking company that added the Discover Network through its Discover acquisition, closed Monday at $202.35. Its shares are down about 17% this year, and the low end of its 52-week range is $174.24.
The form's past-three-months table lists one sale: 975 shares for $206,885 in gross proceeds on July 29, 2026, by Georgetown University.
Because the form's approximate sale date is October 27, 2026, a Form 4 reporting the executed sale may follow.
