BNY Names Vikram Malhotra To Risk And Finance Committees, Amended 8-K Shows

BNY has now disclosed in an amended filing that its board put independent director Vikram Malhotra on the Risk Committee and the Finance Committee on October 13, effective immediately. The 8-K/A, signed October 16, fills a gap: his seats had not been decided when he was elected.

What the amended filing says

The Bank of New York Mellon Corporation filed Amendment No. 1 to a current report under Item 5.02, the section covering director elections and departures. The amendment says the board appointed Malhotra to the Risk Committee and the Finance Committee on October 13, 2026, effective immediately.

The filing states that the amendment exists to disclose his committee assignments, which "had not been determined at the time of Mr. Malhotra's election to the Board." It was signed by Jean Weng, the company's secretary.

The filing lists no other changes to the original report.

The original election

The board elected Malhotra as an independent member on August 11, 2026, effective October 1, 2026, as previously disclosed in the original 8-K filed August 13, 2026. The amendment carries that earlier report's August 11 event date.

So the sequence in the filings runs from his election in August, to his start on October 1, to the committee appointments on October 13, to the amended filing on Friday, October 16.

What it changes

For holders, the board's makeup is unchanged. What is new is where Malhotra sits: two committees, now on the record. Nothing in the filing mentions pay or other arrangements tied to the appointments.

BNY shares closed at $143.30 at Friday's close, up about 0.85% for the session, before the filing was accepted at 4:19 p.m. ET. The move predates the filing and is not a reaction to it.

The next BNY filing that lists committee membership will show whether Malhotra's two seats stand as the board set them on October 13.
