Blackstone priced a $1.1 billion senior notes offering on Tuesday, split between $600 million of 5.650% notes due 2031 and $500 million of 5.900% notes due 2033, the company said in an 8-K filed that day. The money is meant for general corporate purposes.

Two tranches, one guarantee web

The borrower is Blackstone Reg Finance Co. L.L.C., an indirect subsidiary of Blackstone. The 5.650% notes mature in 2031 and the 5.900% notes in 2033; both rates are coupons, the interest the notes pay.

Blackstone Inc. and five of its indirect subsidiaries are to guarantee the notes fully and unconditionally. They are Blackstone Holdings I L.P., Blackstone Holdings AI L.P., Blackstone Holdings II L.P., Blackstone Holdings III L.P. and Blackstone Holdings IV L.P.

Blackstone said it intends to use the proceeds for general corporate purposes.

A public deal off an existing shelf

The notes were sold in an underwritten public offering under an automatically effective shelf registration statement, a standing filing that lets a company issue securities without a fresh review each time. The statement was filed with the SEC on December 2, 2024, and amended on February 27, 2026.

Buyers can get the prospectus supplement from the SEC's website or from Citigroup Global Markets, Goldman Sachs, Morgan Stanley, SMBC Nikko Securities America and Wells Fargo Securities.

The business behind the borrowing

Blackstone is an alternative asset manager that invests for pension funds, insurers and individual investors across real estate, private equity, infrastructure, credit, life sciences, growth equity and hedge funds. It earns management fees on the assets it runs, plus performance revenue such as carried interest when funds hit return targets.

As of December 31, 2025, its assets under management topped $1.3 trillion, according to its 10-K. Credit & Insurance was the largest segment at $443.0 billion, ahead of Private Equity at $416.4 billion.

The 2031 and 2033 notes together add $1.1 billion of debt issued through the Reg Finance subsidiary, with the parent and five Holdings partnerships standing behind it.
