Blackstone Moves To Sell Senior Notes Through A Finance Subsidiary, With Six Guarantors Behind Them

Blackstone, the alternative asset manager, said Tuesday it intends to offer senior notes through an indirect subsidiary, Blackstone Reg Finance Co. L.L.C., with proceeds going to general corporate purposes. The offering is subject to market and other conditions.

Six guarantors stand behind the notes

The notes are to be fully and unconditionally guaranteed by Blackstone Inc. and five of its indirect subsidiaries: Blackstone Holdings I L.P., Blackstone Holdings AI L.P., Blackstone Holdings II L.P., Blackstone Holdings III L.P. and Blackstone Holdings IV L.P.

Blackstone said it intends to use the proceeds for general corporate purposes. The company announced the plan in a press release filed with an 8-K on Tuesday.

A public deal off an existing shelf

The underwritten public offering will be made under an automatically effective shelf registration statement filed with the SEC on December 2, 2024, and amended on February 27, 2026. Shelf registration lets a company register securities in advance and sell them when it chooses.

The notes can be sold only through a prospectus and prospectus supplement. Copies are available from Citigroup Global Markets, Goldman Sachs, Morgan Stanley, SMBC Nikko Securities America and Wells Fargo Securities.

The business behind the borrower

Blackstone invests for pension funds, insurance companies and individual investors across real estate, private equity, infrastructure, credit, life sciences, growth equity and hedge funds. It earns management fees on the assets it runs, plus performance revenue such as carried interest when funds hit return targets.

As of December 31, 2025, it had more than $1.3 trillion of assets under management, according to its annual report, with Credit & Insurance the largest segment at $443.0 billion and Private Equity at $416.4 billion.

Size, rate and maturity of the notes would be set only if the offering goes ahead, depending on market conditions.
