BlackRock beneficially owns 297,486,444 shares of ExxonMobil, or 7.2% of the oil major's common stock, according to a passive ownership filing (a Schedule 13G) made Tuesday. ExxonMobil reports third-quarter results Friday, October 30, before the market opens.

Who holds the votes

BlackRock has sole voting power over 281,484,225 of those shares and shared voting power over none, the filing shows. The event date it reports is September 30, 2026.

The firm certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of ExxonMobil. That is the standard language of a passive filer rather than an activist.

The stake is reported for a group of BlackRock business units rather than the whole firm. An exhibit lists them, including BlackRock Fund Advisors and BlackRock Institutional Trust Company, and says the reporting entity beneficially owns 5% or more of the class.

The filing also says various persons have the right to receive dividends or sale proceeds from the shares, and that no one person's interest is more than 5% of the outstanding common shares.

A stock near its highs before the report

ExxonMobil shares closed at $179.91 on Tuesday, below the $184.54 close of the prior session. The company's market value was $758.8 billion at that close.

The stock is up more than 49% this year, according to a report that cited oil prices at a six-month high amid Middle East tensions.

Friday's earnings test

ExxonMobil said in an 8-K that upstream earnings were likely to fall by $1.3 billion from the prior quarter in the September quarter on lower liquids prices, the coverage notes.

The results are due Friday before the open.
