ExxonMobil Tells Retail Holders Their Standing Votes Follow The Board Unless They Opt Out
ExxonMobil's reminder letters and emails say standing instructions back the board by default; the board opposes a proposal to change the program.
ExxonMobil is reminding retail shareholders that their standing voting instructions back the board's recommendations on all matters unless they opt out, according to a DEFA14A filing made Friday. The filing, which contains sample letters and an email, also lists the board's recommendations, including Against on a proposal to change the retail voting program.
What the reminders say
The samples go to holders enrolled in ExxonMobil's Voluntary Retail Voting Program. They say no action is needed to stay in, and that a holder can opt out, which cancels the standing instruction, by scanning a QR code on the letter or using a "manage standing voting instruction" button in the email.
Holders can also override the standing instruction on any proposal at any meeting by voting with the proxy materials they receive for that meeting. The materials add that for the 2026 annual meeting, votes were cast under each holder's instructions unless the holder voted their own shares.
One letter version carries an exception. Its standing instruction covers all matters in line with the board, except any contested director election and any acquisition, merger or divestiture that requires shareholder approval under state law or exchange rules. That letter says the Texas Redomiciliation proposal fell inside the exception for the 2026 proxy season.
The board's recommendations
The attached table shows the board recommending For on the election of directors, ratification of auditors, the advisory vote on executive pay and Texas Redomiciliation.
It recommends Against on two items. One is an independent chair proposal, which the table describes as "overwhelmingly defeated on 16 separate occasions since 2000." The other asks the company to change its retail voting program to offer multiple options not aligned with the board's recommendations.
Shares traded at $177.62 in Friday trading, up 1.68% from the prior close.
What to watch
ExxonMobil said it intends to file definitive proxy statements and proxy cards for future annual and special meetings. Each will describe the matters to be voted on at that specific meeting.
The Against recommendation on the retail-program proposal sits in the same document that tells holders their default votes already follow the board.
