BlackRock Crosses 5% Of Precision Biosciences With A 1.38 Million-Share Stake

BlackRock now holds 1,384,230 shares of Precision Biosciences, or 5.01% of the common stock, according to a Schedule 13G filed Tuesday. Precision, a Durham, North Carolina gene-editing company, is the issuer; the form is the passive ownership disclosure investors file once they pass 5%.

How the 5.01% is counted

The percentage is measured under SEC Rule 13d-3, which counts warrants, options and convertibles that can be exercised within 60 days in both the holding and the share base. BlackRock reported sole voting power over 1,349,236 shares and shared voting power over none.

The event that triggered the filing was dated September 30, 2026. The filing says the reporting units are BlackRock Advisors, BlackRock Fund Advisors, BlackRock Institutional Trust Company, BlackRock Financial Management and BlackRock Investment Management.

BlackRock certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of the company. It also said various persons have the right to receive dividends or sale proceeds from the stock, and no one person's interest exceeds 5% of the outstanding shares.

A gene editor with a $177 million market value

Precision Biosciences is a clinical-stage company that develops therapies with its ARCUS platform, which edits DNA inside the body. Its lead programs are PBGENE-HBV, a potential cure for chronic hepatitis B in a Phase 1/2a trial at sites in Hong Kong, New Zealand, the United States and Moldova, and PBGENE-DMD, a Duchenne muscular dystrophy treatment.

It has paused a third program, for a mitochondrial disease, and earns money by licensing its technology to partners including iECURE, Caribou Biosciences, TG Therapeutics and Imugene. Its market value was $177 million as of Tuesday's report.

The stake is held as a passive investment, according to BlackRock's own certification in the filing.
