Bioventus Posts $47.0 Million Nine-Month Profit On A Tax Benefit Bigger Than Its Pretax Income

Bioventus, which makes pain, surgical and bone-healing medical devices, earned $47.0 million over the first nine months of 2026, but a $21.0 million income tax benefit did much of the work: pretax income was only $26.0 million. Third-quarter operating income, meanwhile, fell to $9.7 million from $11.3 million a year earlier, the company said in its 10-Q filed Monday.

A tax line that outran pretax profit

For the nine months, the company booked a $21.0 million tax benefit against $1.6 million of tax expense a year earlier. Behind it sit $26.9 million of valuation allowance releases, which are accounting reversals of earlier write-downs on deferred tax assets. The 10-Q says the benefit is noncash and did not add to operating cash inflows.

The second-quarter filing carried $24.6 million of that release, and the third quarter added $2.3 million. The remaining allowance is about $20.7 million, and $18.6 million of it relates mainly to capital loss carryforwards and foreign tax credits whose realization remains uncertain. The company said the third-quarter release reflects management's change in judgment.

The company's adjusted earnings measure strips the release out. The company's earnings release put third-quarter adjusted earnings at $0.17 per diluted share, against $0.15 a year earlier.

Operating income slips as costs climb

Third-quarter pretax income rose to $6.2 million from $4.7 million, helped by lower interest expense. Operating income went the other way. Selling, general and administrative expense rose 5.5% to $82.9 million, with $2.3 million more in professional services, including legal costs partly tied to the strategic review, and $1.4 million more in consulting tied mainly to it.

Revenue rose 2.7% to $142.4 million, led by Pain Treatments. Surgical Solutions and Restorative Therapies fell in the U.S.

Bioventus makes hyaluronic acid knee injections, nerve stimulation devices, ultrasonic bone-cutting systems and the EXOGEN fracture-healing device. The U.S. is 88% of sales, as of the fiscal year ended December 31, 2025.

Debt paydown and the strategic review

The company has prepaid its 2025 term loan by $22.0 million, $20.0 million and $15.0 million in the first three quarters of 2026. Its market value was $910 million in Monday trading.

The quarter brought a $3.6 million addback for strategic alternatives costs, a line that did not exist a year earlier. An unsolicited acquisition proposal prompted the review. The 10-Q no longer carries it as a separate discussion section or risk factor, though the earnings release says the company continues to review alternatives.

CEO Rob Claypoole said the company would "continue to review potential strategic alternatives for the Company as we explore all opportunities to maximize value for our shareholders."

The company updated 2026 net sales guidance to $590 million to $595 million, and its fourth-quarter report will show whether operating income recovers.
