Arcosa CEO Antonio Carrillo Cashes Out 667,240 Shares At $150.00 In CRH Merger
Carrillo's performance units vested, then converted to cash, leaving no shares in his direct holding as reported.
Arcosa CEO Antonio Carrillo disposed of 667,240 shares of the company's stock at $150.00 each in cash, a Form 4 filed Friday shows. The payout comes under Arcosa's merger agreement with CRH Americas and leaves zero shares in his direct holding as reported.
Vesting, then a cash-out
Carrillo, Arcosa's president and CEO, first received 168,305 shares on Friday from the vesting of performance-based restricted stock units, according to the filing. That lifted his direct holding to 667,240 shares, and he then disposed of all of them to the company at $150.00 each.
The same $150.00 cash figure also applies to restricted stock and units, with any unpaid dividend equivalents added. The deal paperwork carries a June 21, 2026 date and involves CRH Americas, Neon Merger Sub and Arcosa.
The filing also reports 4,887 phantom stock units accrued under a director-fee deferral plan, each valued like one common share. They settled in cash when his service ended, at a price set as of September 30, 2026 under the plan.
Who Arcosa is and where the stock sits
Arcosa makes infrastructure-related products for construction, engineered structures and transportation markets in North America, from aggregates and asphalt mix to utility and wind towers and inland barges. GE Vernova accounted for 12.2% of its 2025 revenues, according to its annual report.
Arcosa shares closed Friday at $149.15, up 40.3% this year and 61.6% over the past 12 months as of Thursday's close. That sits within 5% of the 52-week high of $149.21.
The next development to follow is completion of the CRH Americas transaction, which the filing's cash conversions are tied to.
