American Express Bank Owes $350 Million Penalty To OCC, But The Orders Set No Asset Cap
The 8-K says 2026 guidance is unaffected and compliance costs are not anticipated to touch 2027 guidance.
American Express National Bank agreed to pay a $350 million civil money penalty to the Office of the Comptroller of the Currency, the national bank regulator, according to an 8-K the company filed Thursday. The consent orders that settle the reviews do not impose an asset cap, a limit on how large the company can grow.
What the 8-K says
On Thursday, American Express and American Express Travel Related Services Company consented to an order issued by the Federal Reserve's Board of Governors. The bank, known as AENB, consented to a separate OCC order.
Both orders resolve banking regulators' reviews of certain aspects of the company's financial crimes compliance program. The filing describes those reviews as previously disclosed.
The penalty falls on the bank unit, AENB, and is paid to the OCC. The filing does not list a penalty tied to the Federal Reserve order.
What it changes for holders
Part of the penalty was reserved for in prior periods, the filing says, and it does not affect the full-year 2026 guidance the company gave earlier.
The filing also says the consent orders "do not impose an asset cap on the Company." Costs of meeting the orders' requirements are "not anticipated to affect the Company's 2027 guidance."
In Thursday after-hours trading, shares were at $308.40, up 0.10% from the $308.10 regular close (market data).
What to watch
The filing's forward-looking language names the risks that remain: the effectiveness of the company's remediation efforts, and legal and regulatory developments including "the payment of potential additional fines, penalties, or judgments." It also points to operating expenses tied to enterprise risk management and the financial crimes compliance program, which the company says it must control.
