Winnebago's Chris-Craft Trade Name Cleared Its Impairment Test With Under 10% To Spare
The 10-K says the $29.3 million boat-brand asset has a thinner valuation cushion, and Deloitte now flags it as a critical audit matter.
Winnebago's Chris-Craft trade name passed its annual impairment test, but the estimated fair value exceeded the $29.3 million carrying value by less than 10%, according to the company's annual report filed Wednesday. The filing says that cushion shrank during fiscal 2026, and auditor Deloitte now names the valuation a critical audit matter, meaning an area of especially difficult audit judgment.
How thin the cushion is
The 10-K says a 50 basis point cut in the royalty rate, a 10% drop in sales volume, or a 100 basis point rise in the discount rate would each bring the trade name's fair value down to roughly its carrying value. A basis point is one-hundredth of a percentage point. Any one of those moves would leave no room to spare.
The company says no impairment was recognized. Prolonged falling revenue or a worsening economic or industry backdrop could still trigger a write-down later. Management's estimate rests on a royalty-based model that demands heavy judgment.
The prior-year 10-K is the comparison basis for the filing, and the new language about a reduced cushion is absent from it.
What Deloitte added
Deloitte's audit report carries two critical audit matters. One is Grand Design product warranties. The other covers Barletta goodwill, at $136.1 million, and the Chris-Craft trade name, at $29.3 million. The auditor said the assumptions behind both required fair value specialists and a high degree of judgment.
Chris-Craft's own goodwill is already gone. Winnebago recorded a $30.3 million impairment in fiscal 2024 equal to the full goodwill balance for the unit.
The marine business behind the asset
Marine segment operating income fell to $20.9 million in fiscal 2026 from $27.7 million, on revenue of $356.4 million versus $367.8 million. The filing attributes the margin decline to volume deleverage and higher warranty expense, partly offset by selective price adjustments. Marine boat deliveries were 4,423, down from 4,635.
Higher global energy prices, tied to fighting involving the United States, Israel and Iran, also feature in the filing. It says sustained energy costs may further pressure demand for RV and marine products. That energy-cost language first appeared in the company's quarterly report filed in June.
The next test is Winnebago's first-quarter fiscal 2027 10-Q, which will show whether Marine results and any impairment indicators for Chris-Craft have moved.
