WillScot Adds Ex-Republic Services CEO Don Slager As Tenth Director, With Audit And Pay Committee Seats
The board grew from nine to 10 seats, and the new independent director joins two committees, according to an 8-K.
WillScot's board grew from nine to 10 seats to make room for Donald W. Slager, the retired Republic Services chief executive, an 8-K filed Wednesday says. He starts as an independent director on Wednesday and sits on the audit and compensation committees.
What the 8-K says
The board voted on October 5 to enlarge itself and elected Slager to fill the new seat, effective Wednesday. The filing says he was also appointed to the Audit Committee and the Compensation Committee on the same date.
The board determined that Slager qualifies as an independent director under Nasdaq listing standards. He will be paid under the company's existing program for non-employee directors, so no special pay arrangement is described.
The company also issued a press release on Wednesday, furnished as an exhibit to the filing. WillScot's press release says the board elected him unanimously as part of its "ongoing board refreshment efforts."
Who Slager is
According to the press release, Slager was president and chief executive of Republic Services from 2011 until he retired in 2021. He was a Republic director from 2010 to 2021, and earlier served as its president and chief operating officer starting in December 2008.
Before that, he was president and chief operating officer of Allied Waste Industries from 2005 until its merger with Republic in 2008.
He currently sits on two other public company boards. At Martin Marietta Materials he is lead independent director and chairs the Management Development & Compensation Committee. At Eastman Chemical he is an independent director on the audit, finance, and environmental, safety and sustainability committees.
What management said
Executive Chairman Worthing Jackman said the refreshment process is "focused on maintaining the right mix of skills, experience and perspectives to support the Company's long-term success." He cited Slager's governance expertise and experience guiding businesses through transformation.
CEO Tim Boswell said Slager has "a decades-long record of leading public companies through transformation and creating shareholder value." Boswell added that he looks forward to working with Slager as the company strengthens execution.
The filing is the company's own account of the appointment. It adds no change to WillScot's results or guidance.
The board now has 10 directors, and the filing places the newest one on the two committees that oversee audit matters and executive pay.
