Walker & Dunlop's chief operating officer, Stephen P. Theobald, told the company on September 30 that he will retire effective March 31, 2027, according to an 8-K the company filed Tuesday. The filing names no successor and says his duties will be divided among other employees.

What the 8-K says

The filing, made under Item 5.02, which covers departures of certain officers, says Theobald is Executive Vice President and Chief Operating Officer. He notified the company on September 30, 2026, that he will retire on March 31, 2027. On that date he will stop serving as an officer and as an employee.

The company does not announce a replacement. Instead, the filing says his duties and responsibilities in the role will be divided among other employees of the company.

Theobald also confirmed that his decision is not the result of any disagreement with the company on any matter relating to its operations, policies or practices. That is the filing's wording, not an outside characterization.

He will keep serving as executive vice president and chief operating officer until the retirement date. The report was signed Tuesday by Daniel J. Groman, the company's Executive Vice President, General Counsel & Secretary.

What it changes for holders

The notice period is about six months, and the filing describes no interim COO appointment. The role is being split up, not refilled, so the 8-K leaves the COO title without a named holder after March 31, 2027.

The filing says nothing about severance, pay or any other arrangement tied to the retirement, and it gives no financial figures.
