Vistra Subsidiary Pushes Commodity-Linked Credit Facility's Maturity To September 2027, 8-K Shows
The amendment moves the revolving credit maturity date from September 30, 2026 to September 29, 2027, according to the filing.
Vistra's operating subsidiary extended the maturity date of its commodity-linked revolving credit commitments by about a year, from September 30, 2026 to September 29, 2027, an 8-K shows. The company filed the document Friday, two days after the amendment took effect on Wednesday.
What the 8-K says
Vistra Operations Company LLC, an indirect, wholly owned subsidiary of Vistra, signed the amendment on September 30, 2026. The filing calls the borrower the "Borrower" and the underlying deal the Commodity-Linked Credit Agreement.
That agreement is dated February 4, 2022. It is among the borrower, its lenders and Citibank, N.A., which acts as administrative agent.
Beyond the new maturity date, the amendment makes "certain other amendments" that the filing describes as consistent with the terms of the borrower's Corporate Credit Agreement. The 8-K does not spell those changes out; the full amendment is filed as Exhibit 10.1, titled the Eleventh Amendment to Credit Agreement.
The filing reports the event under Item 1.01, entry into a material definitive agreement, and Item 2.03, which covers the creation of a direct financial obligation. William M. Quinn, Senior Vice President and Treasurer, signed it, dated October 2, 2026.
What it changes
The original maturity date was the very day the amendment was signed, so the change keeps the revolving commitments in place for another year rather than letting them lapse on September 30, 2026. The 8-K gives no figures for the size of the facility, pricing or fees.
For holders, the filing describes an extension and housekeeping alignment, not new borrowing amounts.
In Monday pre-market trading, Vistra shares were up about 6% at $148.20 (market data), versus Friday's close of $140.02. That close came before the filing appeared, and the filing itself does not tie the move to the amendment.
The full terms sit in Exhibit 10.1, the Eleventh Amendment, which is the place to check what else changed beyond the September 29, 2027 date.
