Victoria's Secret Chief Legal Officer Melinda McAfee To Leave March 31, 2027, 8-K Says

Victoria's Secret said Melinda McAfee, its Chief Legal and Compliance Officer, will leave the company effective March 31, 2027, according to an 8-K filed Friday. The company has started a search for her successor.
What the 8-K says
The filing, under Item 5.02 (the section covering departures of certain officers), says the company and McAfee signed a Transition and Separation Agreement dated October 7, 2026.
McAfee keeps her current job until a successor Chief Legal Officer is appointed. During that period she gets the same pay and benefits she has now.
After the handoff she stays on as an employee in a non-executive capacity until March 31, 2027, "to enable a smooth transition of responsibilities." The company and its board thanked her for her contributions over the past more than five years.
The company has not named a successor in the filing.
Severance and conditions
McAfee is entitled to the severance benefits in Section 4 of her Executive Severance Agreement dated June 29, 2021. That agreement is filed as Exhibit 10.12 to the company's annual report for the fiscal year ended January 31, 2026.
The severance depends on two things: she must sign a full release of claims, and she must keep complying with restrictive covenants on confidentiality, non-solicitation and non-competition. The filing does not give a dollar amount.
What it changes for holders
The legal and compliance chair will change hands, but not on a fixed date. The appointment of a new Chief Legal Officer sets when McAfee moves to her non-executive role, with March 31, 2027 as the outer limit of her employment.
VSXY shares closed at $86.61 at Thursday's close, up 0.96% for that session, before the filing was made public Friday morning (market data). The filing is signed by Scott Sekella, Chief Financial and Operating Officer.
The next marker is the naming of a new Chief Legal Officer, which starts McAfee's move to a non-executive role.
