Vanguard Unit Reports 5.1% Passive Stake In News Corp, Almost None Of It Voted Directly

Vanguard Portfolio Management, an investment unit of Vanguard, reported owning 18,396,531 News Corp shares, or 5.1% of the class, in a Schedule 13G passive ownership filing made Friday. It has sole voting power over only 44,782 of them.

Votes versus control of the shares

The filing gives Vanguard Portfolio Management sole dispositive power, meaning authority over buying and selling, across all 18,396,531 shares. Shared voting power is zero, and sole voting power covers the 44,782 shares.

The 5.1% is the cover-page percentage of the class, and the filing lists September 30, 2026 as the date of the event that triggered the report.

The total includes shares held by Vanguard funds, or parts of them, over which the unit exercises dispositive power. It also counts client holdings managed by affiliates Vanguard Fiduciary Trust Company and Vanguard Global Advisers.

A passive holder, by its own certification

The filer certified that the shares were acquired and are held in the ordinary course of business, not to change or influence control of News Corp. That is the standard for filing a passive 13G rather than an activist disclosure.

No one other person's interest in the securities exceeds 5%, the filing says.

The company and its shares

News Corp is a media and information services company. Its Dow Jones unit publishes The Wall Street Journal and Barron's, and it also owns REA Group, Realtor.com, HarperCollins, News UK and the New York Post.

Shares traded at $29.28 in Friday trading, down 0.58% from the prior close of $29.45, for a market value of $15.9 billion. Argus lowered its price target on the stock to $33.00 on October 28.

Vanguard's filing puts its address at 100 Vanguard Blvd. in Malvern, Pennsylvania, and counts every one of the 18,396,531 shares as under its dispositive power.
