Transocean Board Pitches Valaris Deal With $200 Million In Synergies Ahead Of November 24 Vote

Transocean's board is lobbying shareholders to approve its all-stock combination with Valaris, citing more than $200 million of annual cost synergies in a supplemental proxy letter filed Monday. Transocean, which provides offshore contract drilling services, holds its shareholder meeting on November 24.

The board's six-point case

The board unanimously recommends a vote "FOR" each of the resolutions, including the issuance of the Transocean shares needed to complete the deal. The exchange ratio is 15.235 Transocean shares for each Valaris share.

The letter says the combined company's pro forma backlog stands at more than $12.7 billion as of November 2, 2026. The board says that backlog supports its expectation of industry-leading free cash flow across the industry cycle.

Because the deal is all stock, it needs no new cash financing, the letter says. The board expects it to speed deleveraging and targets a leverage ratio of approximately 1.5x within 24 months after closing.

The synergies, identified at more than $200 million a year, come mainly from operational efficiencies. For U.S. federal income tax purposes, the deal is expected to be a tax-free reorganization under section 368(a) of the Internal Revenue Code.

A fixed ratio and a wider fleet

The board says it weighed the deal deliberately before deciding it was the most compelling opportunity to enhance long-term shareholder value. The fixed ratio gives certainty on relative ownership, and it means Valaris holders get no extra value if Valaris shares rise before completion.

A larger fleet, the letter argues, would let the company serve more customers with varied project needs across more geographies, making cash flows more durable. Transocean said in its annual report that as of February 17, 2026 it operated 27 mobile offshore drilling units, 20 ultra-deepwater drillships and seven harsh environment semisubmersibles.

How and when to vote

The Business Combination Agreement is dated February 9, 2026, and runs as a Bermuda scheme of arrangement. Transocean and Valaris filed a joint definitive proxy statement with the SEC on October 14, 2026.

The extraordinary general meeting starts at 3:00 p.m. Swiss time on November 24 at Transocean's offices in Steinhausen, Switzerland. Electronic voting instructions and proxy cards must arrive by 4:00 p.m. Eastern Time on November 23.

Transocean holders have until 4:00 p.m. Eastern Time on November 23 to submit votes ahead of the November 24 meeting.
