T. Rowe Price Associates holds 8,943,061 shares of Beta Bionics, or 16.6% of the common stock, according to a Schedule 13G passive ownership disclosure filed Wednesday. The event date in the filing is September 30.

What the 13G says

The filing lists sole voting power over 8,939,271 shares and no shared voting power. T. Rowe Price is classed as an investment adviser.

It certifies the shares were bought and are held in the ordinary course of business, not to change or influence control of Beta Bionics. The firm also says the filing is not an admission that it is the beneficial owner of the shares, and it expressly denies beneficial ownership.

T. Rowe Price Health Sciences Fund, which the firm advises, has an interest in 2,408,699 of the shares. The filing puts that at 5.4% of the class. The filing adds that its clients hold the right to receive dividends and sale proceeds, and that not more than 5% of the class is owned by any one client, except as may be indicated in a joint filing with one of its funds.

The lawsuit behind the stock

Beta Bionics, which sells the iLet automated insulin pump, is the target of a securities class action covering investors who bought shares between July 30, 2025 and February 24, 2026. The complaint alleges the company concealed thousands of device complaints, and says the FDA published a warning letter on February 24.

The class action allegations cite an FDA Form 483 from June 2025 that identified 18,000 unreported iLet complaints. The stock fell 37% after the company reported a miss on new patient starts on January 8, according to the lawsuit. The allegations are unproven.

Beta Bionics shares traded at $18.11 in Wednesday trading as of 3:06 p.m. ET, down 2.79% from the prior close of $18.63 (market data). Market capitalization was $1.0 billion.

What to watch

The deadline for investors to ask to be appointed lead plaintiff in Holtzman v. Beta Bionics, pending in federal court in California, is November 3.
