Supernus Closes Out Its UBS Credit Line, Penalty-Free, Before Indivior Merger
The drugmaker ended an undrawn, uncommitted revolving line and released the bank's hold on collateral, with a new secured facility planned at closing.
Supernus Pharmaceuticals, which develops and sells medicines for central nervous system diseases, terminated its UBS Bank USA credit line on October 20, according to an 8-K filed Monday. The company tied the move to its pending merger with Indivior Pharmaceuticals.
Nothing drawn, nothing owed
The agreement, dated February 8, 2023, set up an uncommitted, demand revolving line of credit. Uncommitted means the bank was never obliged to lend, and demand means it could call the money back at any time.
At termination there were no advances, letters of credit or other borrowings or obligations outstanding, and Supernus said it incurred no early termination penalties. The line had been secured by a pledge of a securities collateral account held at the bank and related assets, and the bank released its security interests in that collateral.
Clearing the deck for the merger
Supernus said it ended the line in anticipation of, and in connection with, completing its previously announced combination with Indivior, under a merger agreement dated August 1, 2026. It also cited the new senior secured credit facility that the combined company is to enter at the closing of that deal.
The deal is still pending, and the filing sets no closing date.
A Parkinson's-to-ADHD portfolio
Supernus, based in Rockville, Maryland, sells Qelbree for attention-deficit hyperactivity disorder and Gocovri, Apokyn, Onapgo and Xadago for Parkinson's disease. It also sells Trokendi XR and Oxtellar XR for epilepsy and migraine, Zurzuvae for postpartum depression, and Myobloc for cervical dystonia and chronic drooling.
Zurzuvae is commercialized with Biogen, which records the product sales; the two companies split operating profits and losses equally. Supernus completed its acquisition of Sage Therapeutics on July 31, 2025, according to its annual report.
The combined company's new senior secured credit facility is slated to be entered at the Indivior closing.
