Strategy Says STRC Will Probably Pay Dividends Every Day After October 28 Shareholder Vote

Strategy's STRC preferred stock, which pays dividends twice a month, will probably pay every day after a shareholder vote, Executive Chairman Michael Saylor said in remarks filed Monday in a DEFA14A, a filing that carries proxy-related communications. The company's investor relations director said the special meeting is October 28.

What Saylor and Jain said

Saylor spoke at ParaFi Investor Day 2026, in a fireside chat with Jeff Park. He said STRC pays twice a month now and "it'll probably be - every day after the vote at the end of the month."

His case: daily payouts should "increase liquidity and strip volatility" and attract new pools of capital. On volatility, he said a 50 cent dividend makes the shares trade down 40 or 50 cents, while a one penny dividend might move them down one penny on a $100 base.

Saylor credited Strive, which already pays daily. He said its turnover was 3X STRC's, evidence in his view that it tapped a new pool of capital, including traders who capture dividends over short holding periods.

Strategy chose every calendar day rather than every business day because, Saylor said, the world is heading toward 365-day tokenized markets. He said that gives holders an incentive to buy on a Saturday or Sunday morning.

The vote and the timeline

Chaitanya Jain, Strategy's Director, Investor Relations, appeared on The Robin Seyr Podcast. He said voting opened a week or two before the recording and runs through October 27, with the meeting on October 28.

If the vote passes, which Jain said the company is confident and optimistic about, STRC would go to daily dividends in November. He said it would push away arbitrageurs, smooth trading and make STRC better collateral, with smaller haircuts in repo markets.

Host Robin Seyr said STRC has traded above Strive's SATA for about a week. Jain said daily dividends are not necessarily what is driving that.

Who can vote

A company note in the filing says only holders of Class A and Class B common stock as of the September 25, 2026 record date can vote at the special meeting. Holders of STRC or other preferred stock cannot vote solely because they own preferred.

The company began mailing the definitive proxy statement on October 5, 2026.

Voting closes October 27, the special meeting is October 28, and Jain said STRC would move to daily dividends in November if the proposal passes.
