Sterling Infrastructure Hires Key Energy Services Lawyer Katherine Hargis To Replace Its Longtime General Counsel
An 8-K says Hargis takes over three legal roles from Mark D. Wolf, who held them since August 2020.
Sterling Infrastructure named Katherine Hargis its Senior Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary, effective Monday, according to an 8-K filed that day. She replaces Mark D. Wolf in all three posts.
What the 8-K says
The filing, signed by Chief Financial Officer Nicholas Grindstaff, reports the appointment under Item 7.01, the section for disclosures made under Regulation FD. The company's press release, dated Monday, is attached as an exhibit.
Hargis succeeds Wolf, who had served as general counsel, chief compliance officer and corporate secretary since August 2020, the company said.
She comes from Key Energy Services, where she most recently was senior vice president, chief administrative officer, general counsel and corporate secretary. According to the press release, she advised the board and executive team on legal affairs, governance and compliance and ethics. She also led corporate functions including human capital, cybersecurity and risk management.
Earlier, she held several legal leadership roles at U.S. Concrete, including vice president, general counsel and corporate secretary. She holds a law degree from Tulane Law School and a bachelor's degree in administration of justice from Arizona State University.
What it changes
One person now holds the legal, compliance and board-secretary functions, as Wolf did before her. The release gives no reason for the change and does not say what Wolf will do next.
Chief Executive Officer Joe Cutillo said in the release: "Her extensive experience, proven leadership capabilities and expertise in governance, compliance, and M&A will strengthen our leadership team as we execute our growth strategy and continue to create long-term value for our shareholders."
Sterling shares traded at $517.15 in Monday trading as of 9:45 a.m. ET, about 3% below the prior close of $533.42 (market data). The filing does not link the move to the appointment.
The release names no compensation terms and gives no departure details for Wolf.
