Stagwell Names Director Beth Kaplan To Its Compensation Committee
An amended filing shows the board seated Kaplan on its pay panel on October 28, nearly three months after she joined as a director.
Stagwell's board put director Beth J. Kaplan on its Human Resources and Compensation Committee on Wednesday, effective immediately, according to an amended 8-K the company filed Friday.
A committee seat for the newest director
The board acted on October 28 on the recommendation of its Nominating and Corporate Governance Committee. The Human Resources and Compensation Committee is the board panel that carries the compensation function in the company's governance structure.
Kaplan joined the board as a director effective July 31, after the board appointed her on July 29, the amendment recounts. Stagwell first reported that appointment in an original 8-K filed August 4.
The amendment exists to supply committee information that, the company says, had not been determined when the original report was filed. Such a filing updates the earlier disclosure rather than reporting a new directorship.
What Stagwell does
Stagwell is a marketing and communications network selling creative, research, digital, media, public relations and advocacy services, along with software and data tools for in-house marketers. According to its annual report, it serves more than 4,500 clients, including Google, Amazon, Nike and Apple, as of December 31, 2025.
Its agencies, which it calls Brands, are grouped into five segments: Marketing Services, Digital Transformation, Media & Commerce, Communications, and The Marketing Cloud. It operates in more than 34 countries and had about 10,951 full-time employees at the end of 2025.
Shares up 5.23% before the filing
Stagwell shares closed at $10.47 on Friday, up 5.23% from the prior session. The filing was accepted at 4:30 p.m. ET, after that close, so the price move came before the disclosure.
The amendment is the company's formal record that Kaplan's committee assignment, left open in August, was settled on October 28.
