SLB Names Ex-JPMorgan Vice Chairman Jing Ulrich To Its Board, Audit And Finance Committees
The 8-K says she takes office immediately and faces shareholder re-election at the next annual general meeting.
SLB's board elected Jing Ulrich as a director on Monday, effective immediately, according to an 8-K the company filed Tuesday. She will sit on the Audit Committee and the Finance Committee.
What the 8-K says
The filing, made under Item 5.02 (the section covering director elections), says there are no transactions with Ulrich that would be reportable under Item 404(a) of Regulation S-K, the rule on dealings between a company and its directors.
The filing describes her as bringing "extensive investment banking and capital-markets experience." She was Vice Chairman of Investment Banking at JPMorgan Chase from 2021 to July 1, 2026.
Before that she held senior roles at JPMorgan from 2005 to 2021, including Vice Chairman of Global Banking and Asia Pacific. She was a Managing Director at Deutsche Bank from 2003 to 2005, and at CLSA from 1996 to 2003.
She has sat on the Supervisory Board of adidas since 2019 and on the board of Swarovski International Holding since 2025. She joined the board of The Wella Company in April 2026. She earlier served on the boards of GSK plc and Ermenegildo Zegna.
The filing says she holds a Bachelor of Arts from Harvard University and a Master of Arts from Stanford University.
What it changes
The board gains a director with a banking background on two committees. The filing does not say whether she replaces anyone or whether the board's size changed.
Ulrich will be paid under SLB's current director compensation program, prorated from her appointment date. She is expected to sign the company's standard director indemnity agreement, which SLB filed previously.
SLB shares were unchanged at $50.00 in Tuesday after-hours trading (market data).
What to watch
Ulrich will serve until SLB's next annual general meeting, where she is subject to shareholder re-election. Dianne B. Ralston, SLB's Chief Legal Officer and Secretary, signed the filing.
The filing gives no date for that meeting, so her first test with shareholders is the vote itself.
