SK Hynix Plans Won 20 Trillion Buyback, With Half Set Aside For Executive And Staff Pay
The board approved purchases of 14,920,000 common shares between October 29 and January 28, 2027.
SK hynix, the South Korean memory-chip maker, said its board approved a new buyback of 14,920,000 common shares for an estimated Won 20,007,720,000,000, in a filing with the SEC on Wednesday. About half is meant to improve shareholder value and the rest to fund equity pay for executives and employees.
Half for holders, half for pay
The company said it intends to spend roughly Won 10 trillion on shareholder value and the remaining roughly Won 10 trillion on equity-based compensation, including bonuses for executive officers and employees. The pay portion can change, depending on how big the company decides that compensation will be.
The board voted Wednesday, October 28, with all six independent directors present. Shares will be bought on the open market through SK Securities and NH Investment & Securities.
Purchase window and daily cap
Buying is planned from October 29 through January 28, 2027. Daily orders are capped at 1,492,000 common shares.
The share count was set by dividing the total by the October 27 closing price of Won 1,341,000. The company said the number actually bought may change as its share price moves.
Treasury stock and the last program
Before this program, SK hynix held 25,318,968 common treasury shares, equal to 3.47% of shares, according to the filing's holdings table. That count reflects 23,693,272 shares added and 15,300,000 cancelled so far this year.
The new plan follows a buyback the company ran from August 20 to October 21, disclosed in an earlier filing. A separate amendment revised an earlier cancellation decision to cover 23,693,272 common shares, with cancellation scheduled for November 5.
The company's market value stood at US$1.03 trillion, and its U.S.-listed shares closed at US$145.36 at Tuesday's close.
Open-market purchases begin Thursday, October 29, and run to January 28, 2027.
