SiTime Director Katherine Schuelke Quits Board, And SiTime Cuts Its Board To Eight Seats Instead Of Replacing Her
The company said her exit was not a dispute, and she has since joined the board of Efinix.
SiTime director Katherine E. Schuelke resigned from the board and two of its committees effective October 20, and the company shrank the board from nine seats to eight rather than fill her chair, according to an 8-K filed Friday. SiTime designs the silicon timing chips that keep electronic systems in sync.
Two committees and a seat, gone
Schuelke, a Class III director, told the board on Monday that she intended to step down, the filing says. Her resignation covers the full board plus the Nominating and Corporate Governance Committee and the Compensation and Talent Committee.
The board approved the cut to eight seats in connection with her departure, effective the same day her resignation took effect, October 20.
The company said her resignation was not the result of a disagreement with it or the board on any matter relating to operations, policies or practices.
A new board seat at Efinix
On October 20, Efinix, a maker of FPGAs (chips that can be reprogrammed after manufacture), announced that Schuelke had joined its board. Its release describes her as chair of SiTime's Nominating and Corporate Governance Committee.
The release also cites a $16.7 billion figure: the price of Altera's sale to Intel, a deal Schuelke negotiated as Altera's general counsel.
The business behind the board
SiTime's products include oscillators, clock chips, resonators and synchronization software built on MEMS technology rather than quartz, according to its annual report for the year ended December 31, 2025. They have been designed into more than 400 applications, including AI systems, datacenters, communications, automotive and aerospace and defense.
The company sells mostly through distributors. Arrow Electronics accounted for 26% of 2025 revenue and Pernas Electronics for 25%.
Schuelke's committee seats on SiTime's board were in nominating and governance and in compensation and talent, and both lost a member on October 20.
