Roivant Tendered 8,967,383 Arbutus Shares At $5.00 To Keep Its 19.5% Stake Intact
A Schedule 13D/A says Roivant sold into Arbutus's buyback only to hold its ownership percentage, with no new demands.
Roivant Sciences sold 8,967,383 Arbutus Biopharma shares into the company's buyback and still holds 29,880,079 shares, about 19.5% of the class, according to a Schedule 13D/A filed Monday. The amendment, the 14th to a filing first made in March 2015, says the sale was meant to preserve Roivant's percentage and adds no demands or strategic intent.
What the amendment says
Item 4 explains the logic in one sentence. Roivant made a proportionate tender "in order to maintain its proportionate ownership of the Common Shares following completion of the Offer." The filing adds no board requests, nominations or sale language.
Arbutus began a modified Dutch auction on August 24, 2026, offering to buy up to US$230 million of its shares at prices from US$5.00 to US$5.75. The offer let shareholders tender proportionately, and it expired at 5:00 p.m. New York time on September 29, 2026.
On October 1, Arbutus said it accepted 46,000,000 shares at US$5.00 each, according to its final results release. Of those, 8,967,383 were Roivant's, for aggregate consideration to Roivant of about US$44,836,915, the filing says. The release said payment was scheduled for about October 5.
What it changes
Roivant's share count fell, but its slice of the company did not. Because it tendered in step with other holders, it reports sole voting and dispositive power over all 29,880,079 shares and about 19.5% of the outstanding class. It disclaims beneficial ownership beyond its pecuniary interest.
The amendment also restates the list of covered persons in Item 2 through Exhibit 99.1. Item 6 notes Roivant signed a Letter of Transmittal for the sale, in the form attached to Arbutus's Schedule TO-I filed August 24, 2026. Beyond this tender, the filing says Roivant has made no transactions in the shares since the previous amendment on February 25, 2025.
In market data, Arbutus shares closed at $4.67 on Monday, and traded at $4.58 after hours, down about 2%, an early reading in thin trading. Its market capitalization is $882 million, against the US$230 million the company committed to the offer.
The filing's operative claim is narrow: Roivant sold to stay at the same percentage, and it says nothing more.
