Quest Diagnostics' Catherine Doherty To Retire In July 2027, With A $1.2 Million Stock Award First
An 8-K shows Doherty keeps her $650,000 salary and 80% incentive target while moving into a new executive vice president role.
Quest Diagnostics said in an 8-K filed Tuesday that Catherine T. Doherty will retire in July 2027. Until then she moves into a new Executive Vice President role starting November 1, 2026, overseeing health systems, the Corewell Health joint venture and a business-process overhaul called Project Nova.
What the 8-K says
The filing, made under Item 5.02 (the section covering officer departures and pay arrangements), says the company announced the retirement on October 6, 2026. The transition takes effect November 1, 2026.
In the new role, Doherty's duties include health systems and the company's joint venture with Corewell Health. She will also oversee Project Nova, which the filing describes as a multi-year effort to modernize the company's "Order to Cash" business processes, including the related information technology infrastructure and enabling technologies.
The filing does not change her base pay. The Compensation and Leadership Development Committee approved no change to her annual base salary of $650,000, or to her incentive pay under the Senior Management Incentive Plan, which keeps a target of 80% of base salary.
The equity award
The same committee approved a new equity award under the Employee Long-Term Incentive Plan. Its target value is $1,200,000, allocated 100% to restricted stock units, which are shares that vest over time.
The grant date is November 3, 2026. The filing says the terms will be substantially the same as the annual long-term incentive awards granted under that plan in 2026 to other senior executives.
Sean D. Mersten, the company's Vice President and Corporate Secretary, signed the filing.
What to watch
Doherty's move into the new role takes effect November 1, 2026, and her restricted stock grant follows on November 3, 2026. The filing names no successor. In Tuesday trading, as of 4:47 p.m. ET, DGX shares were at $228.39, down 1.65% (market data).
Her retirement is set for July 2027, and the filing gives no date beyond the month.
